Terms of Service

1.Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the ActiveTLR website and platform (the “Service”), operated by PharmaQuant. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2.Definitions

• Account - the credentials and workspace through which you access the Service.
• Content - the research questions, citation files, and other materials you upload or create in the Service.
• Outputs - the search strategies, screening decisions, flow diagrams, and syntheses the Service generates from your Content.

3.Accounts and eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. You agree to provide accurate registration information, keep your credentials secure, and accept responsibility for all activity under your Account.

4.Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in breach of any third-party rights;
• reverse engineer, scrape, or attempt to extract the underlying models or source code;
• interfere with, overload, or disrupt the Service or its infrastructure;
• breach the licence terms of any source database when importing or exporting records.

5.Subscriptions, fees, and billing

Paid plans are billed in advance on a recurring basis and renew automatically unless cancelled before the renewal date. Fees are exclusive of taxes unless stated otherwise. Except where required by law, payments are non-refundable.

6.Intellectual property

The Service, including its software, design, and trademarks, is owned by PharmaQuant and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. No other rights are granted.

7.Your content

You retain ownership of your Content. You grant us a limited licence to host, process, and display your Content solely to operate and provide the Service to you. You are responsible for ensuring you have the rights to upload and process the Content you submit.

8.AI-generated outputs

Outputs are generated with the assistance of AI and are provided to support - not replace - professional judgement. You are responsible for reviewing and validating Outputs before relying on them for any clinical, regulatory, or publication purpose.

9.Third-party services and databases

The Service integrates with third-party sources (for example, PubMed). Your use of those sources is subject to their own terms, and you are responsible for complying with the licence conditions of any database you query or import from.

10.Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

11.Limitation of liability

To the maximum extent permitted by law, PharmaQuant will not be liable for any indirect, incidental, or consequential damages, and our total liability arising out of or relating to the Service will not exceed the amount you paid for the Service in the twelve months preceding the claim.

12.Indemnification

You agree to indemnify and hold harmless PharmaQuant from any claims, losses, or expenses arising out of your Content or your breach of these Terms, to the extent permitted by applicable law.

13.Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, the rights granted to you end and provisions intended to survive will continue to apply.

14.Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protections in your place of residence.

15.Changes to these terms

We may update these Terms from time to time. Material changes will be notified through the Service, and the “Last updated” date above will be revised. Continued use after changes take effect constitutes acceptance.
